Clarification Notice 1

In light of recent findings, SBI China Capital Holdings Limited and its subsidiaries (hereinafter referred to as the "Group") have noted that certain public platforms (including, but not limited to, WeChat official accounts) have been conducting activities using the names and trademarks of "軟庫中國基金", "SBI China Capital", and "軟庫中華" without authorization.

The Group hereby issues the following clarification statement:

1. The Group does not conduct any regulated activities ¹ in Mainland China in any form.

2. The Group has never registered any WeChat official account under the name of "軟庫中國基金".

3. Any use of the Group’s trademarks by WeChat official accounts operating under "軟庫中國基金" has never been authorized or consented to by the Group.

4. Official Online Channels:

5. Apart from the offices listed below, the Group has not established any other branches, representative offices, or operational entities:

II. Shanghai: Room 2202, Building 1, Hall of the Stars, No. 118 Feihong Road, Hongkou District, Shanghai

III. Hong Kong: Room 1168, 11/F, Admiralty Centre Tower 2, 18 Harcourt Road, Admiralty, Hong Kong

The Group advises the general public to remain highly vigilant and exercise due care in verifying sources of information to prevent being misled or incurring financial losses.

The Group reserves all legal rights to take formal action and pursue legal liability against any party fraudulently using the Group’s name, trademarks, or brand, or otherwise misleading the public into believing they are affiliated with or connected to the Group.

In case of any discrepancy or inconsistency between the Chinese and English versions of this statement, the Chinese version shall prevail.

Clarification Notice 2

SBI China Capital Holdings Limited and its subsidiaries (the "Group") recently note that a licensed corporation "SBI E2-Capital Securities Limited 軟庫金匯證券有限公司" (the "Company", CE number: BIC854 ) changed its company name from "Chung Sun Securities Limited 中新證券有限公司" to “SBI E2-Capital Securities Limited軟庫金匯證券有限公司" on 1 September 2020. This name is almost the same as the former names of two companies of the Group, the English name of the Company is exactly the same as the former name of one of the Group’s companies. The Group hereby makes the following clarification statement:

SBI China Capital Securities Limited, one of the Group’s companies which was a licensed corporation previously (CE number: ABC733), was formerly named as "SBI E2-Capital Securities Limited 軟庫金滙投資服務有限公司" (the name was used from 2001 to 2014), and this former name has been recorded in the Securities and Futures Commission.

SBI China Capital Financial Services Limited, one of the Group’s companies, (a licensed corporation, CE number: ABD523) was formerly named as "SBI E2-Capital Financial Services Limited 軟庫金滙金融服務有限公司" (the name was used from 2008 to 2014), and this former name has been recorded in the Securities and Futures Commission.

The website http://www.sbichinacapital.com/ is the only official website of the Group, the WeChat ID "SBIChinaCapital" is the official account of the Group. Any other websites or official accounts published the word "SBI" are not related to the Group.

As the name of the Company and the nature of its business are very similar to the former and existing licensed corporations of the Group, this may mislead the public that the Company is related to the Group, and is a subsidiary of the Group. Therefore, the Group solemnly declares that the Company and its business are not related to the Group.

In the event of any discrepancy between the contents above in the English and Chinese version, the Chinese version will prevail.
